Recommended Motion
I move that Council Approve Novation of Services Agreement No. AGR19-25 with IIA Lifting Services, Inc. for a Revised Amount of $150,000.00 plus Applicable Gross Receipts Tax and Extension of the Term to December 31, 2026 for Lifts and Cranes Inspection, Maintenance and Repair.

Body
On November 18, 2018, the County issued Request for Proposals (RFP) No. 19-25-2 for Lifts and Cranes Inspection, Maintenance and Repair. CraneCare, Inc. was the responsive and successful offeror. Subsequently on February 1, 2019, the County entered into an agreement with CraneCare, Inc. for an amount not to exceed $100,000 (plus applicable gross receipts tax) and a four-year term that continues through December 31, 2023 with the option to renew for up to three (3) consecutive one-year periods to provide inspection, maintenance and repair services of lifts and cranes within all County-owned facilities.
In 2018 CraneCare, Inc. (“Exiting Contractor”) was acquired by IIA Lifting Services, Inc. On January 1, 2024, IIA Lifting Services, Inc. and CraneCare, Inc. will merge into a single entity, IIA Lifting Services, Inc., (“Contractor” and “Assignee”). The Exiting Contractor desires to assign and transfer the Agreement to Assignee. The Novation is needed to assign and transfer the Agreement to the Assignee.
To maintain continuity of services, an extension of the term for an additional three (3) years as allowed under the original contract is recommended. The original not to exceed compensation amount of the Agreement is $100,000 plus applicable gross receipts tax. A revised total Agreement amount of $150,000 is also recommended should a major repair of a lift or crane occur during the extended term of the Agreement.
Lifts and cranes located within County-owned facilities are used by the Los Alamos County Public Works Fleet and Traffic & Streets Divisions, the Department of Public Utilities Water Production Division, and the Los Alamos Public Schools Fleet Department.

Fiscal and Staff Impact/Planned Item
Facility Maintenance funds are budgeted and available for these services as part of the Council-approved FY 2024 Budget.
