Recommended Motion
I move that Council approve Amendment No. 1, Novation of Contract, to General Services Agreement No. AGR22-32b with JVI Arizona, LLC, DBA Varitec Solutions a wholly owned subsidiary of Daikin Applied Americas, Inc.

Body
The County entered into Service Agreement No. AGR22-32b with Daikin Applied Americas Inc., on July 13, 2022.
On October 8, 2024, Daikin Applied Americas, Inc. acquired Varitec Solutions and services for Heating Ventilation and Air Conditioning (HVAC) will now be provided under Varitec Solutions.
Daikin Applied Americas, Inc. desires to assign and transfer the Agreement to Varitec Solutions, and Varitec Solutions wishes to accept the assignment, transfer, and assumption of all the rights, interests, covenants, obligations, and liabilities of Daikin Applied Americas Inc. under the Agreement and under the terms and conditions of this Novation.
Varitec Solutions will continue to provide heating, ventilation and air conditioning (HVAC) services for the remaining term of the original contract.
Alternatives
Council could choose not to approve this Amendment and terminate the Agreement, in which case, staff would need to explore another procurement for these services.
Fiscal and Staff Impact/Planned Item
There is no fiscal impact, and except as expressly modified by this Novation, the terms and conditions of the Agreement remain unchanged and in effect, including pricing.
