Approval of Amendment No. 4 to AGR 16-057a Novation from Wood Environment & Infrastructure Solutions, Inc. for On Call Geotechnical and Testing Services
Recommended Action
I move that Council approve Amendment No. 4 to AGR 16-057a Novation from Wood Environment & Infrastructure Solutions, Inc. for On Call Geotechnical and Testing Services.

Body
Service Agreement 16-057a to perform Geotechnical and Testing Services was executed on June 15, 2016, for a term of five years. Amendment AGR 16-057a-A1 was made to AGR 16-057a on June 15, 2020, which amended the term of agreement through June 14, 2021. Amendment AGR 16-057a-A2 was made to AGR 16-057a on June 15, 2021, which amended the term of agreement through June 14, 2022. Amendment AGR 16-057a-A3 was made to AGR 16-057a on June 15, 2022, which amended the term of agreement through June 14, 2023. (See Attachment A, Agreement AGR-16-057a, Amendments No. 1-3)
On September 21, 2022, Wood Environment & Infrastructure Solutions, Inc. changed its name to WSP USA Environment & Infrastructure Inc., (See Exhibit B, Certificate of Name Change.)
The proposed Amendment, AGR16-057a-A4 will assign the agreement to WSP USA Environment & Infrastructure Inc. (See Attachment B). The company services have not changed, and staff is confident that WSP USA Environment & Infrastructure Inc., will continue to provide Los Alamos County with quality geotechnical and testing services.
Alternatives
If the amendment is not approved, the current agreement will be null and void. Since this is part of a multiple vendor service on call for Geotechnical and Testing Services, staff would only be able to utilize the remaining Agreements; AGR16-057b with GEO-TEST Incorporated; AGR16-057c with NV5 Inc., and AGR16-057d with BSN Inc.
